Terms of Service
1. Acceptance of Terms
By accessing or using DispatchHQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.
Licensing Representation: By using the Service to manage service-business operations, you represent and warrant that you hold all licenses, permits, certifications, and insurance required by applicable federal, state, and local laws for the services you provide. DispatchHQ does not verify contractor licensing and is not responsible for any unlicensed activity conducted through the platform. You agree to indemnify DispatchHQ against any claims arising from your failure to maintain proper licensing.
2. Description of Service
DispatchHQ is a CRM shops use to manage their own customers and work. Owners and staff keep customers, jobs, schedules, estimates, invoices, and the team on one set of records. It is built for all service businesses — shops of every trade — not only home-service trades. DispatchHQ is the software a shop logs into. It is not a marketplace, not a job board, and not a lead generator. The Service includes customer relationship management, job scheduling, invoicing, team management, automated notifications, and related features as described on our website. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
Service Availability: DispatchHQ targets 99.5% uptime availability for the Service, measured on a monthly basis (excluding scheduled maintenance windows communicated at least 48 hours in advance). In the event of extended downtime exceeding 4 consecutive hours during business hours (6 AM–9 PM Pacific), affected subscribers on paid plans may request a service credit equal to one day of their pro-rated monthly subscription fee per 4-hour period of downtime, up to a maximum of one month's subscription fee. Service credits must be requested within 30 days of the incident and are the sole and exclusive remedy for any downtime or service interruption.
3. Account Registration and Security
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that all users in your organization comply with these Terms
4. Subscription Plans and Billing
The Service is offered on a subscription basis. By selecting a paid plan, you authorize us to charge your payment method on a recurring basis at the applicable subscription rate. All fees are stated in US dollars and are non-refundable except as expressly set forth in these Terms.
We offer the following subscription tiers (pricing subject to change with 30 days notice):
- Professional — $99/month, up to 10 team members
- Business — $249/month, up to 100 team members
- Enterprise — Starting at $799/month, dedicated support and custom onboarding
A 14-day free trial is available for new accounts. No credit card is required during the trial period. After the trial, you must select a paid plan to continue using the Service.
5. Customer Data and Privacy
You retain ownership of all customer data you input into the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide the Service to you. We will not sell Your Data to third parties. We implement industry-standard security measures to protect Your Data. Please review our Privacy Policy for full details on how we collect, use, and protect information.
6. Payment Processing
DispatchHQ uses Stripe for payment processing. By using payment features, you agree to Stripe's Terms of Service. When you collect customer payment information through the Service, you represent that you have obtained all necessary consents from your customers and that you will use such information only for legitimate business purposes. You are solely responsible for compliance with all applicable payment card industry standards and regulations.
Money Transmission Disclosure: DispatchHQ does not hold, transmit, or control subscriber funds at any time. All payment processing is handled directly by Stripe, Inc., a licensed money services business. DispatchHQ acts solely as a technology platform facilitating the connection between subscribers and Stripe's payment infrastructure. Funds are deposited directly into your Stripe-connected bank account according to Stripe's standard payout schedule.
7. SMS, Voice, and Communication Services (TCPA Compliance)
The Service may include SMS notification and AI-powered voice agent features when a sender number is configured. Voice agents are not a shipped live calling product. Public SMS is not live today; sender numbers are parked pending carrier approval. By using these features when they are available, you acknowledge and agree to the following:
Shops message customers about appointments, jobs, and invoices through the CRM. That is the SMS program: transactional messages about appointments, jobs, and invoices sent by a shop to its own customers through DispatchHQ.
SMS opt-in: A shop may text a customer only after that customer provides a phone number and consents to receive those messages. Consent is not a condition of purchase. Shops are responsible for capturing and keeping that consent.
Mobile opt-in data, including phone numbers collected for SMS, will not be shared or sold to third parties, affiliates, or lead generators for marketing or promotional purposes. DispatchHQ does not sell opt-in lists and is not a lead generator.
Reply STOP to opt out. When a customer replies STOP, their consent is automatically revoked and no further messages will be sent to that number for that shop's program.
Reply HELP for help. Message frequency varies. Message and data rates may apply.
Prior Express Written Consent Required: Under the Telephone Consumer Protection Act (TCPA) and the FCC's February 2024 ruling, AI-generated voice calls are classified as "artificial or prerecorded voice" communications. Before DispatchHQ's AI voice agent ("Dave") places any outbound call to your customers, you must obtain prior express written consent from each customer. DispatchHQ enforces this requirement through its built-in TCPA consent management system.
SMS Consent: You must obtain appropriate consent before sending SMS messages to customers. All SMS messages include opt-out instructions ("Reply STOP to opt out"). When a customer replies STOP, their consent is automatically revoked and no further messages will be sent.
Your Responsibilities: You are solely responsible for: (a) obtaining and maintaining valid consent records for all communications; (b) honoring all opt-out requests within the legally required timeframe; (c) ensuring compliance with all applicable federal and state communication laws; (d) the content of all messages sent through the Service.
Statutory Damages: Violations of the TCPA carry statutory damages of $500–$1,500 per unauthorized communication. DispatchHQ provides consent management tools but is not liable for your failure to obtain proper consent.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit spam, unsolicited communications, or malicious code
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Collect or harvest data from the Service without authorization
9. Intellectual Property
The Service and its original content, features, and functionality are owned by DispatchHQ and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
AI-Generated Content: Content generated by AI features within the Service (including contracts, marketing copy, job postings, and business recommendations) is provided as a starting point and tool output. You retain ownership of AI-generated content created using your data and prompts. However, DispatchHQ makes no warranty regarding the originality, accuracy, or fitness for purpose of AI-generated content. You are solely responsible for reviewing, modifying, and verifying any AI-generated content before use in your business operations.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISPATCHHQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
Aggregate Liability Cap: Our total cumulative liability to you for any and all claims arising from or related to these Terms or your use of the Service shall not exceed the lesser of: (a) the total amount you paid to DispatchHQ during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one thousand dollars ($1,000 USD).
Exclusions: Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
10A. Indemnification
You agree to indemnify, defend, and hold harmless DispatchHQ, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service or any activity under your account
- Your violation of these Terms or any applicable law or regulation
- Your violation of any third party's rights, including TCPA, privacy, or intellectual property rights
- Any content you submit, post, or transmit through the Service
- Your failure to obtain proper consent for communications sent through the Service
- Any claims by your customers, employees, or contractors arising from your use of the Service
This indemnification obligation shall survive the termination of these Terms and your use of the Service.
10B. Force Majeure
DispatchHQ shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, power failures, internet or telecommunications failures, third-party AI provider outages (including but not limited to Anthropic, Google AI, OpenAI, or ElevenLabs service disruptions), cyberattacks, or any other event outside our reasonable control. During such events, our obligations shall be suspended for the duration of the force majeure event.
10C. Data Ownership and Processing
Your Data: You retain all ownership rights to the data you input into the Service ("Subscriber Data"). Subscriber Data includes your customer records, job details, financial information, and any other content you upload or create within the Service.
License Grant: You grant DispatchHQ a limited, non-exclusive, worldwide license to use, process, store, and transmit your Subscriber Data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or terminate your account.
Data Processing Agreement: By using the Service, you acknowledge that DispatchHQ acts as a data processor on your behalf for your customers' personal information. You are the data controller and are responsible for: (a) obtaining appropriate consent from your customers for data processing; (b) ensuring your use of the Service complies with applicable privacy laws; (c) responding to data subject access requests from your customers. DispatchHQ will assist you in fulfilling data subject requests upon written notice.
Data Portability: Upon termination of your account, you may export your Subscriber Data in a machine-readable format within 30 days. After 30 days, we may delete your data in accordance with our data retention policies, except where retention is required by law.
Aggregated Data: DispatchHQ may use anonymized, aggregated data derived from your use of the Service for analytics, benchmarking, and service improvement purposes. Such aggregated data cannot be used to identify you or your customers.
11. Artificial Intelligence Disclaimer
DispatchHQ incorporates artificial intelligence ("AI") features throughout the platform, including but not limited to: the Chief of Staff bot, Marketing Director, HR Director, Office Manager, Accounting bot, Legal bot, Business Intelligence, and automated scheduling and communication tools. Voice agents are not a shipped live calling product.
AI features are advisory tools only. They are designed to assist with business operations but may produce inaccurate, incomplete, or inappropriate recommendations. AI-generated content does not constitute professional legal, financial, medical, tax, or accounting advice. You should always verify AI recommendations with qualified professionals before making critical business decisions.
The Legal bot does not replace a licensed attorney. Any legal information provided by the platform is for general informational purposes only and should not be relied upon as legal counsel. Always consult a qualified attorney for legal matters affecting your business.
The Accounting bot does not replace a certified accountant or CPA. Financial data, projections, and recommendations generated by AI should be reviewed by a qualified financial professional.
AI can make mistakes. While we strive for accuracy, AI systems may hallucinate facts, misinterpret context, or provide outdated information. DispatchHQ is not liable for any decisions made based on AI-generated recommendations. You acknowledge that final business decisions are your responsibility.
Data usage: Conversations with AI features may be used to improve the AI's understanding of your preferences and business context within your account. Your data is not shared with other users or used to train third-party models.
11A. Business Intelligence and Competitive Data
DispatchHQ offers a Business Intelligence suite that provides market insights, industry benchmarking, and competitive awareness features to all subscribers equally. By using the Service, you acknowledge and agree to the following:
Equal Access: The Business Intelligence suite is available to all subscribers on eligible plans without discrimination. All subscribers, including direct competitors operating in the same market, receive the same tools, data sources, and analytical capabilities. No subscriber receives preferential access to intelligence about another subscriber.
Data Sources: Competitive intelligence features rely exclusively on publicly available information, including but not limited to: public business listings, published reviews, public pricing pages, government filings, industry reports, and open-source data. DispatchHQ does not access, share, or transfer any subscriber's proprietary business data, customer lists, pricing strategies, or internal operations data to any other subscriber or third party.
Data Isolation: Each subscriber's account data is strictly isolated. There is no cross-account data migration, sharing, or aggregation that would expose one subscriber's proprietary information to another. Your customer records, job history, financial data, and internal communications remain exclusively within your account.
No Proprietary Data Sharing: AI-powered features do not use one subscriber's proprietary data to benefit another subscriber. Machine learning models are not trained on individual subscriber data. Any aggregated industry benchmarks use anonymized, statistical data that cannot be attributed to any individual business.
Acknowledgment: By creating an account, you acknowledge that other service businesses — including your direct competitors — may also subscribe to DispatchHQ and receive the same Business Intelligence tools. You agree that DispatchHQ's provision of equal tools to all subscribers does not constitute unfair business practices, misappropriation of trade secrets, or breach of any duty of loyalty.
11B. Credit Card Surcharging Advisory
DispatchHQ provides tools that allow subscribers to pass credit card processing fees to their customers ("surcharging"). By using these features, you acknowledge and agree:
Legal Compliance is Your Responsibility: Credit card surcharging is prohibited or restricted in certain states and jurisdictions (including but not limited to Connecticut, Massachusetts, and Puerto Rico as of the effective date of these Terms). Laws change frequently. It is solely your responsibility to determine whether surcharging is legal in your jurisdiction and to comply with all applicable federal, state, and local laws, card network rules (Visa, Mastercard), and regulations.
Disclosure Requirements: Where surcharging is permitted, most jurisdictions require clear disclosure to customers at the point of sale, including the surcharge amount and that it does not exceed the merchant's actual processing cost (typically capped at 3–4%). You are solely responsible for providing required disclosures.
No Legal Advice: DispatchHQ does not provide legal advice regarding surcharging. The availability of surcharging tools in the platform does not constitute an endorsement or recommendation to surcharge. Consult a qualified attorney to determine compliance in your jurisdiction. DispatchHQ is not liable for any fines, penalties, or legal actions resulting from your use of surcharging features.
12. Termination
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved by binding arbitration in Spokane County, Washington, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit.
